Terms of Service

Individual accounts are for users 18 years of age or older. By creating an account or using the Service, you confirm that you are at least 18, have the legal capacity to enter into contracts, and agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Under-18 use: Under-18 access is permitted only through an authorized educational structure (a school, teacher, parent or guardian, or other educational organization that has agreed to supervise the minor's use) and only for supervised learning, lesson planning, simulation, and educational experiment design appropriate for a classroom setting. Student or minor use must be supervised, must not replace teacher, parent, institutional, or other qualified adult judgment, and must not include advanced regulated, clinical, pathogenic, controlled-substance, dual-use, or otherwise dangerous research workflows.

Olto Discovery is a research platform that provides AI-powered experimental protocol generation and design tools, a research notebook, literature management, statistical analysis guidance, team collaboration features, and related research productivity tools.

The Service is intended to assist in research planning and organization. It does not replace professional scientific judgment, peer review, institutional review board (IRB) approval, biosafety committee (IBC) review, animal-care committee (IACUC) review, or any other required institutional or regulatory approval process. Users are solely responsible for ensuring their research complies with all applicable laws, regulations, and institutional policies.

Beta and experimental features: Some features may be experimental, in beta, or subject to change. We may modify, suspend, or discontinue features as the Service evolves.

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@oltodiscovery.com of any unauthorized use of your account.

You agree to provide accurate and complete information when creating your account and to keep it current. Accounts created with false information may be terminated without notice.

The Service is offered on a subscription basis with the following plans:

• Explorer (Free): Up to 5 generated protocols, 100 MB storage, and 5 AI calls per month shared across protocol generation, the AI assistant, and other AI features. No credit card required.
• Researcher ($79/month): Unlimited protocols and 200 AI calls per month (shared across all AI features, including the assistant). Individual researcher features.
• Lab ($499/month): Up to 10 seats, shared projects, 2,000 AI calls per month per seat (metered per user, not a shared pool), team features and audit logs.
• Enterprise (Custom): Unlimited usage, private-workspace options, and additional security/compliance configurations (which may include single sign-on) scoped per contract under a separate written agreement.

Subscription fees are billed in advance. All payments are processed by Stripe, Inc. and are subject to Stripe's terms. Subscriptions automatically renew unless cancelled. You may cancel at any time from your billing settings; cancellation takes effect at the end of the current billing period. Fees are exclusive of taxes; you are responsible for any sales, use, VAT, GST, or similar taxes, except taxes on our net income.

We reserve the right to change pricing with 30 days' notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

Refunds: If you are not satisfied, you may request a full refund of your first subscription charge within 7 days of that charge by emailing support@oltodiscovery.com. This applies once, to your first paid subscription, and an approved refund is returned to your original payment method through Stripe. After the 7-day window, fees are non-refundable except where required by law.

You agree to use the Service only for lawful purposes and in a manner consistent with all applicable laws, regulations, and institutional policies. You agree NOT to use the Service to design, optimize, troubleshoot, or operationalize experiments intended to:

• Increase pathogenicity, transmissibility, host range, immune evasion, environmental stability of harmful agents, or resistance to detection, treatment, or containment
• Enable unauthorized work with select agents, pathogens, toxins, controlled substances, or other regulated biological or chemical materials
• Conduct unauthorized human experimentation, or any research that bypasses required IRB / IBC / IACUC / equivalent oversight
• Synthesize controlled substances for illegal purposes
• Develop or refine chemical, biological, radiological, or nuclear weapons or their precursors
• Conduct dual-use research of concern (DURC) without appropriate institutional oversight

You also agree NOT to:

• Attempt to reverse engineer, extract, or replicate the AI models or proprietary algorithms underlying the Service
• Use automated scripts, bots, or scrapers in ways that violate rate limits or burden our infrastructure
• Share your account credentials with others or allow unauthorized access to your account
• Upload files containing malware, viruses, or other harmful code
• Violate the intellectual property rights of third parties by uploading copyrighted materials without authorization
• Use the Service to harass, abuse, or harm others

Legitimate research is permitted only where lawful and conducted under all required institutional and regulatory oversight. We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

Unless expressly permitted in a signed Enterprise agreement with an appropriate compliance configuration, you must not upload to the Service: protected health information (PHI), patient-identifiable clinical data, classified information, export-controlled data, controlled unclassified information (CUI), or other regulated sensitive data.

Olto Discovery is not, by default, a HIPAA-covered platform and does not provide a Business Associate Agreement on standard plans. HIPAA-ready configurations may be available for Enterprise customers under a separate written agreement, where supported by the full vendor and infrastructure stack.

Your content: You retain full ownership of all protocols, research data, notebooks, uploaded files, and other content you create using the Service (“User Content”). By using the Service, you grant us the limited, non-exclusive license needed to store, process, display, and provide the Service to you.

AI-generated content: Content generated by AI based on your inputs is considered User Content. As between you and us, to the extent permitted by law, you own the AI output generated from your inputs and may use it for any lawful purpose, subject to Sections 5, 6, and 8 and the terms of our AI inference providers.

Our intellectual property: The Service, including its software, design, features, and underlying configurations, is owned by Velora Biotech LLC and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of our software without our written permission.

Feedback: If you provide feedback or suggestions about the Service, we may use that feedback without compensation or obligation to you.

Olto Discovery uses third-party AI inference providers for AI features. AI-generated content is a starting point and must be reviewed by a qualified person before use. AI outputs may be incomplete, outdated, inaccurate, fabricated, unsafe, or unsuitable for a specific experimental context.

You are solely responsible for:

• Reviewing all generated protocols for scientific validity and applicability to your experimental system
• Verifying reagent quantities, catalog numbers, statistical methods, sample-size assumptions, feasibility, and safety requirements
• Obtaining all required institutional approvals (IRB, IBC, IACUC, biosafety, chemical safety, DEA/controlled-substance, export-control, and other applicable bodies)
• Consulting qualified experts when making critical research decisions

Olto Discovery is not a medical device, diagnostic tool, clinical decision-support system, or substitute for qualified scientific judgment. Velora Biotech LLC is not liable for any research outcomes, safety incidents, regulatory violations, or other consequences arising from the use of AI-generated content from the Service.

We treat your research data as confidential and implement security measures described on our Security page and in our Privacy Policy. However, you acknowledge that no system is perfectly secure and that transmission of data over the internet carries inherent risk.

If you use team features (Lab or Enterprise plans), you are responsible for managing your team members' access appropriately. The organization owner is responsible for ensuring that invited members comply with these Terms and for promptly removing access for team members who leave the organization.

Shared protocols and notebooks within your organization are accessible to organization members with the appropriate role. You are responsible for setting appropriate visibility on sensitive protocols.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VELORA BIOTECH LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

You agree to defend, indemnify, and hold harmless Velora Biotech LLC and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your research activities; or (d) any claim that your User Content violates third-party rights.

These Terms are governed by the laws of the State of Missouri, USA, without regard to conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings seated in the State of Missouri. Either party may seek injunctive or equitable relief in a state or federal court located in Missouri.

CLASS ACTION WAIVER: YOU AGREE THAT ANY DISPUTE-RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS ACTION OR REPRESENTATIVE ACTION.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email and by posting the updated Terms with a new effective date. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

You may terminate your account at any time from your account settings. We may suspend or terminate your account immediately, without prior notice, if you violate these Terms or use the Service in a way that creates legal, security, or safety risk. We may also discontinue the Service or close an account for other reasons; where we do so without cause, we will give reasonable advance notice by email when practicable and a reasonable period for you to export your content before access ends.

Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination will survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
